Terms of Service

The Vault is a marketplace

The Vault ("we," "us") is operated by Shop The Vault LLC, a Michigan limited liability company. The Vault connects buyers and sellers of designer and streetwear pieces. When you buy or sell through The Vault, you're entering into a transaction directly with another user — The Vault is not the buyer or seller, does not take ownership of any item, and does not inspect, authenticate, or verify items before they're listed or shipped. We don't offer an authentication or "verified" service of any kind. Sellers are solely responsible for the accuracy of their listings; buyers are responsible for reviewing a listing before buying or making an offer.

You must be at least 18 years old and able to form a binding contract to use The Vault. The information you give us — your account details, listings, and shipping information — must be accurate.

Listings, offers, and fees

Sellers list items with photos, a description, brand, size, condition, and price. Buyers can buy at the listed price or make an offer of at least 55% of it; sellers can accept, decline, or counter an offer, and unanswered offers expire automatically after 24 hours.

The Vault charges sellers no fees. Sellers keep 100% of the sale price. Buyers pay a payment processing fee on top of the price at checkout, which is shown before they pay — this isn't a promotional rate, it's how The Vault works.

Sellers must complete Stripe Connect onboarding before they can receive offers or sell. This is so payouts go to a real, verified account — not a placeholder The Vault controls.

Payments and payouts

All payments are processed by Stripe. The Vault never sees or stores your full card details. When a buyer pays, the funds are held by The Vault — not sent to the seller immediately — until delivery is confirmed, plus an additional buyer-protection window of at least 3 days after that (7 days for a seller's first three sales). If a buyer reports a problem before that window ends, The Vault reviews it and either releases the payment to the seller or refunds the buyer in full. Sellers are expected to ship promptly, with tracking, once an order is paid. Orders of $300 or more must be shipped with signature confirmation.

Until delivery is confirmed, the risk of an item being lost or damaged in transit is covered by this same payment-hold process, not carried by the buyer alone — an item that never arrives is exactly the kind of problem the buyer-protection window above is for.

Prohibited conduct

You agree not to:

  • List counterfeit, replica, or stolen items, or misrepresent an item's condition, authenticity, or origin
  • Take a transaction off-platform to avoid The Vault entirely once a conversation, offer, or order has started through it
  • Manipulate offers, reviews, or ratings — including with fake accounts
  • Harass, threaten, or abuse other users
  • Post, send, or upload content that is objectionable — including hateful, sexually explicit, violent, or harassing content — or that infringes someone else's rights
  • Use The Vault for any unlawful purpose

There is no tolerance for objectionable content or abusive users on The Vault. You can report a listing from its page, report a user from their profile or a conversation with them, and block any user; blocked users can't contact you. We review reports and act on them promptly, which may include removing content and suspending or terminating the responsible account. We may remove listings, cancel orders, or suspend or terminate accounts that violate these terms.

We take counterfeit and misrepresented listings seriously and act on reports of them — but because The Vault does not inspect, authenticate, or verify items before they're listed or shipped, we can't guarantee that no counterfeit or inauthentic item will ever be listed or sold. If you receive an item you believe is counterfeit or otherwise not as described, report it under "Disputes between users" below. That process — a refund from the held payment — is your recourse; The Vault isn't liable for the item itself beyond that, consistent with "Disclaimers and limitation of liability" below.

Disputes between users

If a buyer and seller disagree about an order — item not as described, damaged, or never arrived — either party can report it from the order page any time before the hold ends: up until delivery is confirmed (by the carrier's tracking or by the buyer), plus the 3-day buyer-protection window after that (see "Payments and payouts" above). The Vault will review the available information (messages, listing details, tracking) and make a decision to release the payment to the seller or refund the buyer. This process is offered as a convenience; The Vault is not a court or arbitrator and its resolution is limited to what happens with the held payment.

Your content

You keep ownership of the photos, descriptions, and other content you post. By posting it, you give The Vault a non-exclusive, royalty-free license to host, display, and distribute it as part of operating the marketplace — for example, showing your listing photos to other users on the Discover feed and listing pages. This license ends when you remove the content or delete your account, except where it's still needed for records tied to a completed order.

Disclaimers and limitation of liability

The Vault is provided "as is" and "as available," without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose, and non-infringement. We don't guarantee that listings are accurate, that items are genuine or free of counterfeits, that the service will be uninterrupted or error-free, or that any transaction will go smoothly — those are between buyer and seller.

To the fullest extent permitted by law, The Vault isn't liable for indirect, incidental, consequential, or punitive damages, or for lost profits, arising from your use of the marketplace. Our total liability for any claim relating to The Vault won't exceed the greater of (a) the amount of the order the claim relates to, if any, or (b) $100.

Indemnification

You agree to defend and hold The Vault harmless from any claim, loss, or expense (including reasonable legal fees) arising from your use of the marketplace, your listings or content, your transactions with other users, or your violation of these terms.

Governing law

These terms are governed by the laws of the State of Michigan, without regard to its conflict-of-laws principles. Any dispute not resolved through The Vault's dispute process above must be brought in the state or federal courts located in Michigan, and you consent to jurisdiction there.

Changes to these terms

We may update these terms as The Vault changes. We'll post the updated version here with a new "last updated" date. Continuing to use The Vault after a change means you accept the update.

Apple

If you use The Vault through Apple's App Store, these terms are between you and Shop The Vault LLC only, not Apple. Apple has no obligation to provide maintenance or support for the app and is not responsible for any claims relating to it, including product liability, legal or regulatory compliance, or intellectual property claims. Apple and its subsidiaries are third-party beneficiaries of these terms and may enforce them against you. You represent that you're not located in a country subject to a U.S. embargo or designated as a terrorist-supporting country, and that you're not on any U.S. list of prohibited or restricted parties. Apple is not a party to any transaction between you and another user, and Apple is not the seller or a sponsor of any item listed on The Vault.
